Terms of Service
Please read these terms carefully before using Virobit. By accessing or using our services, you agree to be bound by these terms.
Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Virobit LLC ("Virobit," "we," "us," or "our"), a Texas limited liability company headquartered in Dallas, TX.
By creating an account, using our platform, or clicking any "I Agree" button, you confirm that you have read, understood, and agree to these Terms in their entirety. If you are agreeing on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
If you do not agree to these Terms, do not access or use the Virobit platform.
Services Description
Virobit builds custom replacements for legacy industry software (utility billing, warehouse operations, telecom billing, field services, and insurance administration) delivered as scoped, fixed-price builds that the client owns. Virobit also publishes open-source software (Drift) and may offer hosted software products in the future.
A scoped build engagement typically includes:
- A scoping phase producing a written specification and fixed-price quote
- Development of the specified software
- Migration of data from your existing legacy system, as specified in the scope
- Hand-off of source code, documentation, and your data
- Optional flat-fee hosting and support, if separately agreed
The specific deliverables, timeline, and payment schedule for each build are set out in the written engagement agreement for that project, which controls over these general Terms where they conflict.
Pricing and Payment
Scoped builds are quoted as a fixed, one-time price before work begins — there is no pricing page because every build is priced against its written scope (see the cost model at virobit.dev/#pricing). A quote is valid for the period stated on it.
Payment terms:
- Builds are typically paid as a deposit plus milestone payments set out in the engagement agreement
- All fees are in USD and are refundable only as described in our Refund Policy and the engagement agreement
- Optional hosting is billed as a flat monthly fee, cancellable at any time effective at the end of the current billing period
- Work already scoped in progress does not change price mid-build; changes to scope are quoted separately in writing
There are no required recurring fees after hand-off. If you cancel optional hosting, we hand you the deployment (it's your software) and stop billing.
Hosted Systems and Security
If we host your build (or any future hosted product) for you, you are responsible for:
- Maintaining the confidentiality of credentials issued to your team
- Activity that occurs under your organization's accounts
- Promptly notifying us of any suspected unauthorized access at security@virobit.dev
- Keeping your billing and contact information current
Because you own the delivered software, there is no per-seat licensing: your organization may create as many users as your deployment supports.
Acceptable Use
You may only use Virobit for lawful business purposes. You agree not to:
- Violate any applicable law, regulation, or third-party rights
- Attempt to extract other clients' data or source code from systems we host (your own build's source is yours — we hand it to you)
- Use the platform to transmit malware, viruses, or other malicious code
- Attempt unauthorized access to systems or networks connected to Virobit
- Use automated scraping tools against the platform without prior written consent
- Resell or sublicense access to the platform to third parties
- Use the platform in any manner that could damage, disable, or impair our infrastructure
Violation of acceptable use may result in immediate account suspension or termination without refund.
Your Data and Data Ownership
You own your data — and, uncommonly for this industry, you also own the delivered software. All data you provide during a build or generate within a system we host for you ("Customer Data") remains your property at all times, and is delivered in open, documented formats at hand-off.
During an engagement, you grant us a limited, non-exclusive license to process and store your Customer Data solely to perform the work. We do not sell, rent, or share your Customer Data with third parties for their own marketing purposes.
If we host for you and you cancel, you may export your data at any time before cancellation takes effect; we retain it in exportable form for 90 days afterward (in case you change your mind), then permanently delete it from our systems.
Availability (Plain Talk, Not an SLA)
We do not currently sell contractual SLAs, and we won't pretend otherwise. Our status page says the same thing: it is a static page updated by hand, not automated monitoring.
For hosted systems:
- Availability targets, maintenance windows, and any credits are agreed per engagement, in writing
- Scheduled maintenance is announced in advance whenever practical
- Because you own the software, you can always take the deployment in-house or to another host if our hosting stops serving you well
When Virobit operates production SaaS with real monitoring, this section and the status page will be upgraded together.
Intellectual Property
Ownership of the software delivered in a scoped build transfers to you as set out in the engagement agreement — that is the point of the model. Virobit retains ownership of its pre-existing tools, libraries, brand assets, this website, and any hosted products, along with the right to reuse general know-how and non-client-specific components across projects.
Open-source software we publish (such as Drift) is licensed under the license in its repository, which controls over these Terms for that software.
You retain all intellectual property rights in your Customer Data. Any feedback, suggestions, or feature requests you provide to us may be used by Virobit without obligation or compensation to you.
Disclaimers and Limitation of Liability
THE VIROBIT PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIROBIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL VIROBIT'S AGGREGATE LIABILITY TO YOU EXCEED THE TOTAL FEES PAID BY YOU TO VIROBIT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. VIROBIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Some jurisdictions do not allow certain liability limitations. In such cases, our liability is limited to the maximum extent permitted by applicable law.
Termination
You may cancel optional hosting or end an engagement by contacting hello@virobit.dev. Hosting cancellation is effective at the end of the current billing period; ending a build mid-engagement is governed by the milestone terms in the engagement agreement.
Virobit may suspend or terminate hosted access immediately if:
- You violate these Terms or our acceptable use policy
- We believe your account is being used for fraudulent activity
- Required by law or regulatory order
Upon termination, your right to access the platform ceases. Provisions of these Terms that by their nature should survive termination (including IP rights, data ownership, disclaimers, and dispute resolution) will survive.
Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of Virobit shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Dallas, Texas.
You and Virobit each waive the right to a trial by jury or to participate in a class action. Either party may seek emergency injunctive relief in a court of competent jurisdiction in Dallas County, Texas.
Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email to your registered address at least 30 days before taking effect. Your continued use of the platform after the effective date constitutes acceptance of the revised Terms.
