Terms of Service
Please read these terms carefully before using Virobit. By accessing or using our services, you agree to be bound by these terms.
Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Virobit LLC ("Virobit," "we," "us," or "our"), a Texas limited liability company headquartered in Dallas, TX.
By creating an account, using our platform, or clicking any "I Agree" button, you confirm that you have read, understood, and agree to these Terms in their entirety. If you are agreeing on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
If you do not agree to these Terms, do not access or use the Virobit platform.
Services Description
Virobit provides cloud-based software-as-a-service (SaaS) solutions for utility management, warehouse operations, telecom billing, field services, and insurance policy administration. Our platform is designed as a modern replacement for legacy industry software.
Services are provided on a subscription basis and may include:
- Web-based platform access via browser
- Data migration from your existing legacy system
- API integrations with third-party services
- Customer onboarding and training
- Ongoing technical support
We reserve the right to modify, update, or discontinue features of the platform with reasonable notice. Material changes to core functionality will be communicated at least 30 days in advance.
Subscriptions and Billing
Virobit offers monthly and annual subscription plans. Pricing is as listed on our pricing page at the time of signup. We reserve the right to change pricing with 60 days' advance written notice.
Billing terms:
- Monthly plans are billed on the same calendar day each month
- Annual plans are billed upfront and are eligible for our 30-day money-back guarantee
- All fees are in USD and are non-refundable except as described in our Refund Policy
- You authorize us to charge your payment method on a recurring basis
- Failed payments may result in service suspension after a 7-day grace period
We do not offer long-term contracts. You may cancel at any time. Cancellation takes effect at the end of the current billing period — you retain full access until then.
Account Registration and Security
To use Virobit, you must create an account with accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Promptly notifying us of any unauthorized access at security@virobit.com
- Ensuring your account information remains current and accurate
Each subscription plan is licensed for a specified number of users. You may not share login credentials across multiple individuals. Additional user seats may be purchased at any time.
Acceptable Use
You may only use Virobit for lawful business purposes. You agree not to:
- Violate any applicable law, regulation, or third-party rights
- Reverse engineer, decompile, or attempt to extract source code from the platform
- Use the platform to transmit malware, viruses, or other malicious code
- Attempt unauthorized access to systems or networks connected to Virobit
- Use automated scraping tools against the platform without prior written consent
- Resell or sublicense access to the platform to third parties
- Use the platform in any manner that could damage, disable, or impair our infrastructure
Violation of acceptable use may result in immediate account suspension or termination without refund.
Your Data and Data Ownership
You own your data. All data you upload to, generate within, or import into Virobit ("Customer Data") remains your property at all times.
By using Virobit, you grant us a limited, non-exclusive license to process, store, and display your Customer Data solely to provide the services to you. We do not sell, rent, or share your Customer Data with third parties for their own marketing purposes.
Upon cancellation or account termination, you may export your data at any time during your active subscription. We will retain your data in exportable format for 90 days after cancellation, after which it is permanently deleted from our systems.
Service Level Agreement (SLA)
Virobit targets 99.9% monthly uptime for all production services. Uptime is measured and published in real time at status.virobit.com.
Scheduled maintenance windows are announced at least 48 hours in advance and are excluded from uptime calculations. In the event of downtime exceeding our SLA:
- 99.0–99.9% uptime: 5% service credit
- 95.0–99.0% uptime: 15% service credit
- Below 95.0% uptime: 30% service credit
Credits are applied to your next billing cycle and must be requested within 30 days of the incident. Service credits are your sole remedy for uptime failures.
Intellectual Property
The Virobit platform, including all software, UI designs, documentation, and brand assets, is owned by Virobit LLC and protected by US and international intellectual property laws.
These Terms do not transfer any ownership of Virobit's intellectual property to you. You receive only a limited, non-exclusive, non-transferable right to use the platform as described in your subscription plan.
You retain all intellectual property rights in your Customer Data. Any feedback, suggestions, or feature requests you provide to us may be used by Virobit without obligation or compensation to you.
Disclaimers and Limitation of Liability
THE VIROBIT PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIROBIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL VIROBIT'S AGGREGATE LIABILITY TO YOU EXCEED THE TOTAL FEES PAID BY YOU TO VIROBIT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. VIROBIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Some jurisdictions do not allow certain liability limitations. In such cases, our liability is limited to the maximum extent permitted by applicable law.
Termination
You may cancel your account at any time through your account dashboard or by contacting hello@virobit.com. Cancellation is effective at end of the current billing period.
Virobit may suspend or terminate your account immediately if:
- You violate these Terms or our acceptable use policy
- We believe your account is being used for fraudulent activity
- Required by law or regulatory order
Upon termination, your right to access the platform ceases. Provisions of these Terms that by their nature should survive termination (including IP rights, data ownership, disclaimers, and dispute resolution) will survive.
Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of Virobit shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Dallas, Texas.
You and Virobit each waive the right to a trial by jury or to participate in a class action. Either party may seek emergency injunctive relief in a court of competent jurisdiction in Dallas County, Texas.
Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email to your registered address at least 30 days before taking effect. Your continued use of the platform after the effective date constitutes acceptance of the revised Terms.
